These Datadog for Startups Program Terms (these “Terms”) apply where Customer has applied to the Datadog for Startups program (the “Program”) and supplement the Master Subscription Agreement governing Customer’s use of the Services (the “MSA”). Capitalized terms not otherwise defined in these Terms have the meanings assigned to them in the MSA.
Program Overview
Information about the Program is available at the Datadog for Startups Site (the “Program Site”). To be eligible for acceptance in the Program, Customer must have a valid Datadog account.
Acceptance
Datadog will notify Customer if it is accepted into the Program (an “Acceptance Notice”). Customer must confirm its Program participation by activating its Startup Credits (defined below) within 30 days of the Acceptance Notice (“Activation”). In the months following Activation, Datadog may assign a customer success representative to Customer’s account to assist Customer in optimizing its use of Services.
Credits
If Customer is accepted into the Program, the Acceptance Notice will specify the promotional credits available to be applied to Customer’s Datadog account for Fees for Customer’s use of eligible Services (“Startup Credits”). Prices for Services are set forth on the Pricing Page, and Fees are calculated on the basis of usage and charged monthly in arrears. Program Credits will be applied at the organization/account level as determined by Datadog’s billing systems through the Program End Date (defined below). Program Credits have no cash value, are non-refundable, non-transferable, and may not be applied to taxes or amounts owed for technical, premier support, or professional services. Customer’s use of Services under any other organization/account will not be eligible for Startup Credits or other Program benefits.
Use of Marks
Datadog may use Customer’s name, logos, trademarks, and service marks (collectively, “Marks”) in Datadog’s customer lists, on Datadog’s public website, and in Datadog marketing and promotional materials (including press releases, blog posts, social media, and partner and investor communications) to identify Customer as a Program participant and/or a Datadog customer from Activation through expiration or termination of the MSA. This paragraph replaces and supersedes Section 14 of the MSA.
Case Study
Unless the Parties agree otherwise in writing, upon Datadog’s request after Activation, Customer agrees to participate in Datadog’s creation of a written or video case study describing Customer’s use of the Services (a “Case Study”), to include Customer: (a) making relevant personnel available for interviews; (b) providing reasonable, non-confidential outcomes or metrics regarding Customer’s use of the Services; and (c) reviewing drafts of the Case Study, including proposed copy, quotes, Customer Marks, and other materials Datadog proposes to publish as part of the Case Study. Datadog will provide Customer the Case Study for review and approval prior to publication. Customer agrees to respond within 10 days and will not unreasonably withhold, condition, or delay its approval.
Early Removal
Datadog may remove Customer from the Program if: (a) Customer’s Datadog account is inactive for three consecutive months; (b) Datadog reasonably determines that Customer has engaged in fraud, misuse or abuse in connection with the Program; or (c) Customer breaches the MSA or these Terms. Customer’s removal from the Program does not itself terminate the MSA.
Program Duration
Customer’s participation in the Program begins with Activation and continues through the earliest of: (a) Customer’s removal pursuant to the preceding paragraph; (b) Customer’s exhaustion of the Program Credits; or (c) the 12-month anniversary of Activation (as applicable, the “Program End Date”). Commencing with the Program End Date, unless the Parties have agreed otherwise in a written Order, Fees will be billed to Customer under the MSA and Customer’s self-serve subscription and billing settings at Datadog’s then-current rates.
Program Changes
Datadog may change or discontinue the Program or any aspect of it, including these Terms at any time including changing or discontinuing any benefits offered under the Program. Unless stated otherwise, any change to the Program will become effective at the time we update the Program Site with the change, provided that Datadog will provide at least 30 days’ prior notice if a change would be materially adverse to Customer.
